Terms of Service

1.1 The Service

Buzzfy is a subscription-based software platform that connects to your Instagram account to automatically generate video variants of your existing Reels, publish them as Instagram Trial Reels, and track their performance. The Service uses AI-powered analysis to identify and test improvements to your content.

"Buzzfy" is solely the brand and application name under which the Service is offered and has no separate legal personality.

1.2 Party References

• "Company," "we," "us," "our": Alvin AI Studio LLC, the Seller and Merchant of Record identified in Section 1.3
• "Otto Apps": Otto Apps Yazılım Uygulama Bilgi Teknoloji Reklamcılık Danışmanlık Sanayi ve Ticaret A.Ş., the technical service provider and content licensor identified in Section 1.4
• "You," "your": the individual user of the Service
• "Parties": both you and the Company, collectively

1.3 Seller Information (Merchant of Record)

The contracting party and Merchant of Record for the Service is Alvin AI Studio LLC, 447 Broadway, 2nd Floor Suite 3007, New York, NY 10013, USA. All references in these Terms to the "Company," "we," "us," or "our" mean Alvin AI Studio LLC.

The Company is solely responsible, as against you, for the sale of subscriptions, billing, invoicing, taxes, refunds, and cancellations relating to the Service. Alvin AI Studio LLC is the entity that will appear on your payment card statement in connection with your subscription.

1.4 Role of the Technical Provider

Otto Apps Yazılım Uygulama Bilgi Teknoloji Reklamcılık Danışmanlık Sanayi ve Ticaret A.Ş. ("Otto Apps"), İçerenköy Mah. Topçu İbrahim Sk. Quick Tower No:8-10D, Ataşehir / İstanbul, Turkey, is an independent technical service provider and content licensor that develops the software infrastructure of the Service, ensures its technical operation, and produces in-app content.

Otto Apps performs these functions for and on behalf of the Company, under the Company's instructions and under a separate business-to-business agreement between Otto Apps and the Company to which you are not a party. Otto Apps does not enter into any direct sales, contractual, or payment relationship with end users, does not issue invoices to or collect payments from end users, and is not the Merchant of Record for the Service.

All contractual, billing, refund, and cancellation claims relating to your subscription must be directed to the Company using the contact details in Section 16.

1.5 No Affiliation with Instagram or Meta

Buzzfy is an independent service. It is not affiliated with, endorsed by, sponsored by, or otherwise associated with Meta Platforms, Inc., Instagram, or any of their affiliates.

You must be at least 18 years old to use the Service. By using Buzzfy, you represent that you have the legal authority to enter into these Terms and to grant us access to any Instagram account you connect.

You must create an account to use the Service. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You agree to notify us immediately at bugra@buzzfy.co if you suspect unauthorized access.

By connecting your Instagram account to Buzzfy, you authorize us to:

• Access your existing Reels and account metadata
• Publish Trial Reels to your account on your behalf
• Read performance insights (reach, views, engagement) for Reels we publish

You may revoke this access at any time via your account settings or through Instagram's app settings. You are solely responsible for ensuring your use of Buzzfy complies with Instagram's Terms of Use and Community Guidelines.

Who performs this processing. The technical operations described above are carried out through the software infrastructure operated by Otto Apps on the Company's behalf and under the Company's instructions, as set out in Section 1.4. The Company remains responsible to you for the Service. Details of how your data is processed, and by whom, are set out in our Privacy Policy.

We offer a free trial period upon signup. No credit card is required to start a trial. Trial length varies depending on the signup method (organic signups receive 3 days; users who sign up with a valid invite code receive the trial length associated with that code).

After the trial expires, your account will be paused and no new Trial Reels will be published until you subscribe. Previously published Trial Reels on Instagram are not deleted.

a) Plans

Buzzfy offers monthly and yearly subscription options. Current pricing is displayed on our website at buzzfy.co/pricing and within the Service at the time of purchase. Prices are in USD and may vary based on promotional offers, invite codes, or campaigns. Any personalized offer communicated to you (e.g., via email or invite code) will reflect the terms applicable to that offer.

b) Billing

All payments are collected by the Company as Merchant of Record and processed via Stripe as its payment processor. By subscribing, you authorize the Company to charge your payment method on a recurring basis (monthly or annually) until you cancel. Prices are in USD. Otto Apps does not collect payments from you and does not issue invoices to you.

c) Trial-to-Paid Discount

We may offer a discounted rate on certain plans exclusively during your free trial period. Any such discount is communicated to you within the Service or via email, expires when your trial expires, and cannot be applied retroactively.

d) Cancellation

You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period. We do not offer prorated refunds for partial billing periods.

e) Refunds

All sales are final. We do not offer refunds except where required by applicable law. If you believe you were charged in error, contact us at bugra@buzzfy.co within 14 days of the charge.

You agree not to:

• Use the Service to post content that violates Instagram's Terms of Use, Community Guidelines, or any applicable law
• Use the Service to publish spam, misleading content, or inauthentic engagement
• Attempt to reverse engineer, decompile, or copy any part of the Service
• Share your account credentials with others or use the Service on behalf of multiple Instagram accounts unless explicitly permitted
• Interfere with or disrupt the integrity or performance of the Service
• Use the Service for any unlawful purpose

You retain ownership of all content you bring to the Service, including your original Reels. By using the Service, you grant the Company a limited, non-exclusive, worldwide, royalty-free license to access, process, modify (for variant generation), and publish your content solely as required to provide the Service. The Company may sublicense these rights to Otto Apps solely to the extent necessary for Otto Apps to operate the technical infrastructure of the Service on the Company's behalf. This license terminates when you delete the relevant content or your account, except for content already published to Instagram.

The Buzzfy platform, software, and any AI models or systems used to provide the Service are owned by the Company or by Otto Apps and licensed to the Company, as agreed between them. Nothing in these Terms transfers ownership of any such intellectual property to you.

Trial Reels published during your free trial period may include a mention of or tag to Buzzfy's Instagram account (e.g., @buzzfy.co) in the caption. This branding is removed from future Trial Reels once you become a paying subscriber. Previously published Trial Reels are not modified retroactively.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. THIS DISCLAIMER IS GIVEN BY THE COMPANY AND, TO THE EXTENT IT WOULD OTHERWISE HAVE ANY LIABILITY TO YOU, BY OTTO APPS.

We do not guarantee that the Service will achieve any specific results (e.g., follower growth, increased views). Instagram's algorithms and policies are outside our control and may change at any time.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER THE COMPANY NOR OTTO APPS SHALL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

The total aggregate liability of the Company and Otto Apps, taken together, for any claims arising under these Terms shall not exceed the amount you paid to the Company in the 12 months preceding the claim.

You agree to indemnify and hold harmless the Company, Otto Apps, and their respective officers, employees, and agents from any claims, damages, or expenses (including reasonable attorney's fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights (including Instagram's terms).

We reserve the right to suspend or terminate your account at our discretion if you violate these Terms or if we believe your use poses a risk to the Service or other users. You may delete your account at any time from your account settings.

Upon termination, your right to use the Service ceases immediately. Sections 1.4, 8, 10, 11, 12, and 15 survive termination.

We may update these Terms from time to time. We will notify you of material changes via email or a notice on the Service. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice.

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in a court of competent jurisdiction.

Otto Apps provides the software infrastructure and in-app content of the Service on the Company's behalf. It does not sell subscriptions to, invoice, or collect payments from end users. See Section 1.4.
